Terms of Service — Fieldkeep

These Terms are a working draft provided for transparency and are not legal advice. Organizations should review them with their own counsel before relying on them.

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Fieldkeep — the Fieldkeep mobile app, the Command Center, and the website (together, the “Service”). The Service is provided by RightMove Properties (“Fieldkeep,” “we,” “us”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

Fieldkeep is a field-operations platform that records crew time, location, and mileage, reads across your operation, and presents it to authorized managers. Features, configuration, and availability may change over time as we improve the Service.

3. Accounts and eligibility

Accounts are typically provisioned by an organization (the customer) for its workers and administrators. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. The Service is intended for use by adults in an employment or business context.

4. Acceptable use

You agree not to misuse the Service. You will not: use it for any unlawful purpose; attempt to gain unauthorized access to it or to others’ data; interfere with or disrupt the Service; or reverse engineer, copy, or resell it except as permitted by law.

5. Customer responsibilities for workforce tracking

Fieldkeep records location and time data about workers. If you deploy Fieldkeep to your workforce, you are responsible for using it lawfully — including notifying workers about tracking, obtaining any consents required in your jurisdiction, and complying with applicable employment, labor, and privacy laws. You are responsible for how you configure the Service and how you use the data it produces.

6. Customer data

As between you and us, you retain ownership of the data you and your workers submit to the Service. You grant us the rights necessary to host and process that data to provide the Service. Our handling of personal information is described in our Privacy Policy.

7. Intellectual property

The Service, including its software, design, and content, is owned by RightMove Properties and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. The Fieldkeep name and logo are our trademarks.

8. Third-party services

The Service relies on and may integrate with third-party services (for example, mapping and hosting providers, and systems such as AppFolio). We are not responsible for third-party services, and your use of them may be subject to their own terms.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or perfectly accurate.

10. Limitation of liability

To the maximum extent permitted by law, RightMove Properties will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or relating to your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless RightMove Properties from claims arising out of your misuse of the Service or your violation of these Terms or applicable law, including laws governing workforce monitoring.

12. Term and termination

These Terms apply while you use the Service. We may suspend or terminate access for violation of these Terms or where required to protect the Service. Provisions that by their nature should survive termination will survive.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the United States and the State of Minnesota, without regard to conflict-of-laws principles.
